Important Notice
These Terms & Conditions (“Agreement”) govern your access to and use of the Mindshop Platform and all related support services. By registering, accessing, or continuing to use Mindshop services, you confirm that you have read, understood, and agreed to be bound by this Agreement and our Privacy Policy. If you do not agree, you must not use our services.

1. Definitions

In this Agreement, the following terms have the meanings set out below:

2. Parties & Agreement Structure

2.1 This Agreement is between you (Advisor or Online Member) and the Mindshop Group entity with whom you contracted at the time of registration.

2.2 For Advisors, the Agreement commences on the date of registration. For Online Members, it commences when the Advisor first grants them access.

2.3 Mindshop Group contracts as agent and trustee for each of the Mindshop Group companies, their officers, employees, and agents.

2.4 This Agreement supersedes all prior representations, warranties, or agreements between the parties on this subject matter.

3. Use of the Mindshop Platform

3.1 Subject to payment of Fees and compliance with this Agreement, Mindshop grants Advisors and Online Members a non-exclusive, non-transferable, limited right to access and use the Mindshop Platform

3.2 The platform is intended for users aged 16 and over. Minors under 16 may only access specific programs with prior parental consent.

3.3 You acknowledge that information provided via the platform is general in nature and does not constitute financial, legal, or professional advice.

3.4 Mindshop may release platform enhancements at any time. Enhancements do not entitle you to credits for any associated downtime.

3.5 Mindshop may change platform features with reasonable notice to you.

4. Subscriptions & Fees

4.1 Subscription Structure
Advisors choose a subscription tier at the time of registration. Fees comprise:

  • A monthly subscription fee (payable in advance)
  • A monthly fee per additional Online Member who accesses the platform during the preceding month (payable in arrears, where applicable)
  • Other agreed fees applicable to services rendered
  • Applicable taxes

 

4.2 Changes to Subscription
Advisors may adjust their subscription level (adding or removing Online Members and Advisors) by contacting their Regional Manager or Mindshop Member Services. Changes will vary the Fees accordingly and applicable notice periods apply per section 16.

4.3 Payment
All Fees are payable by direct debit on or by the invoice due date. Mindshop will invoice on or around the first of each month.

4.4 Free Trials & Promotions
Mindshop may offer promotional access or free trials from time to time, subject to additional terms. Mindshop reserves the right to vary, suspend, or terminate promotions at any time.

4.5 Fee Changes
Mindshop may vary Fees on 14 days’ written notice. Continued use of the platform following a variation constitutes acceptance.

5. Account Management & Security

5.1 Advisors are responsible for creating and managing Online Member accounts, and must only do so with the Online Member’s consent.

5.2 All registration information must be accurate and kept up to date.

5.3 Login credentials are personal and must not be shared. Passwords must be strong and kept confidential.

5.4 You must notify Mindshop immediately if you become aware of any unauthorised use of your account or any security breach.

5.5 You are responsible for all activities that occur under your account credentials.

6. Acceptable Use Policy

Core Principle

Use Mindshop’s platform professionally, honestly, and in accordance with all applicable laws. Do not use it to harm, compete with, or embarrass Mindshop Group or other users.

6.1 Permitted Activities
You may use the Mindshop Platform for:

  • Accessing training, tools, and resources for your advisory practice
  • Coaching and training your own team members and clients (Permitted Use)
  • Communicating and gaining support from Mindshop or an allocated coach
  • Leveraging the AI supported systems to guide your advisory performance
  • Participating in community forums and events

 

6.2 Prohibited Activities
You must NOT:

  • Use Mindshop’s platform to compete with Mindshop Group or to replicate its services
  • Download, copy, or store Material offline for redistribution beyond Permitted Use
  • Share login credentials with individuals other than yourself
  • Upload or transmit offensive, illegal, defamatory, or harmful content
  • Attempt to decompile, reverse engineer, or extract source code of the platform
  • Conduct automated scraping, data harvesting, or systematic data collection
  • Violate the intellectual property rights or privacy rights of any party
  • Upload sensitive personal information (health data, financial account numbers, children’s data, etc.) unless explicitly permitted
  • Use the platform in any way that damages the reputation or interests of Mindshop Group

 

Violation of this policy may result in suspension or termination of access (see Section 16).

7. Intellectual Property & Materials

7.1 Mindshop Ownership
All Materials and Information on the Mindshop Platform are the intellectual property of Mindshop International Pty Ltd (and associated entities), protected by copyright and other applicable IP laws. No content may be reproduced, distributed, adapted, or commercialised without Mindshop’s prior written consent.

7.2 Permitted Use
Advisors may use Mindshop Material to support their own clients and team members as part of their regular advisory or education activities. This licence does not extend to:

  • Making Materials available offline to third parties at scale
  • Using Materials to build a competing advisory product or service
  • Distributing Materials to individuals for use in the delivery of advisory services who are not registered Advisors

 

7.3 User Submissions
When you communicate with or submit content to Mindshop Group (e.g. feedback, testimonials, suggestions), you grant Mindshop an irrevocable, perpetual, royalty-free, worldwide licence to use, display, and incorporate that content in our services and marketing.

7.4 Event Photography & Video
When attending a Mindshop event, you consent to being photographed or filmed. Mindshop may use such recordings for promotional purposes. You waive any claim to compensation or royalties for such use. Mindshop owns all copyright in event recordings.

7.5 No Unauthorised AI Training
No Mindshop Material, data, or content may be used to train, fine-tune, or develop any AI or machine learning model without Mindshop’s prior written consent.

8. User Data

8.1 Title to all User Data remains with the Advisor or Online Member. Mindshop processes User Data solely to provide the Services.

8.2 Access to User Data is contingent on payment of Fees. Mindshop may suspend Data access where Fees are overdue.

8.3 You are responsible for ensuring User Data is accurate, lawful, and does not infringe third-party rights.

8.4 You should maintain independent copies of all User Data. Mindshop follows best-practice data protection procedures but expressly excludes liability for data loss.

8.5 Data Deletion on Termination
Upon termination of access:

  • Platform access and active data are removed within one business day.
  • Data is retained in secure backup for 1 month for emergency recovery only.
  • After 1 month, all User Data is permanently and irreversibly deleted.

 

Important

Once your account is closed and the 1-month backup window has passed, Mindshop cannot recover your data.

9. AI Features & Acceptable Use

9.1 By using the Mindshop platform, you consent to the use of AI-powered features as part of service delivery. These features are designed to enhance advisory effectiveness and efficiency.

9.2 Permitted AI Uses

  • Supporting client advisory activities
  • Research for advisory opportunities
  • Seeking guidance on using the Mindshop platform
  • Accessing Mindshop documentation and resources

 

9.3 Prohibited AI Uses

  • Entering sensitive personal information, financial account details, or confidential client data
  • General business administration unrelated to advisory (HR, payroll, accounting operations, etc.)
  • Sharing the AI Assistant access with unlicensed users

 

9.4 Data Handling in AI Features

  • AI queries are transmitted to trusted third-party AI providers via encrypted connections.
  • Query data is not retained by third-party providers for AI model training.
  • AI-assisted outputs are identified as such within the platform where practicable.

 

9.5 Mindshop reserves the right to monitor AI Assistant usage to ensure compliance with this policy and may suspend access in the event of misuse.

10. Data Hosting & Security

10.1 Mindshop uses a cloud-based infrastructure hosted on Microsoft Azure (Australia East region). All data transferred between users and Mindshop servers is encrypted using SSL/TLS.

10.2 Mindshop does not accept liability for unauthorised access, data loss, or damage caused by hacking, malware, ransomware, or other external interference beyond our reasonable control.

10.3 Third-party integrations (including Hubspot, Dataddo, api.video, Azure AI) are subject to the security practices of those providers.

11. GDPR & Data Processing

11.1 Mindshop Group complies with the EU General Data Protection Regulation (GDPR) to the extent applicable to its operations.

11.2 Sub-Processors
Advisors and Online Members acknowledge that User Data entered into the Mindshop Platform may be processed by the following sub-processors:

11.3 Controller / Processor Roles
Where Mindshop processes personal data on behalf of an Advisor (e.g. Online Member data), Mindshop acts as Data Processor and the Advisor acts as Data Controller. A Data Processing Agreement (DPA) governs this relationship and is available on request.

11.4 Transfers
Data transfers between North America, the European Union, and Australia are protected by Standard Contractual Clauses and/or Binding Corporate Rules where applicable.

12. Confidentiality

12.1 Advisors and Online Members must keep all Confidential Information strictly confidential and must not disclose it to any third party without Mindshop’s prior written consent.

12.2 Confidential Information may only be used for the purposes contemplated by this Agreement.

12.3 These obligations do not apply to information that is or becomes publicly known other than through a breach of this Agreement, or that is required to be disclosed by law.

12.4 Confidentiality obligations survive termination of this Agreement.

13. Support Services

13.1 Mindshop will provide reasonable technical support to resolve platform issues. Support is provided during Australian head office business hours; Mindshop is not obligated to respond outside business hours or within any particular timeframe.

13.2 You must first attempt to resolve issues internally before contacting support. Issues beyond Mindshop’s reasonable control are excluded.

13.3 You are responsible for internal administration, including access management and password storage.

13.4 No credits or refunds will be issued for unavailability caused by support issues beyond our reasonable control.

14. Third-Party Services

14.1 Mindshop’s platform may link to or integrate third-party websites and services. Mindshop is not responsible for the content, privacy practices, or conduct of third parties.

14.2 Links to third-party services do not constitute an endorsement by Mindshop.

14.3 Your use of any third-party services is at your own risk and subject to that party’s terms and conditions.

15. Limitation of Liability & Indemnity

15.1 No Warranties
Mindshop Online and all Materials and Information are provided “as is” without any representation or warranty, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.

15.2 Cap on Liability
To the maximum extent permitted by law, Mindshop Group’s total liability to an Advisor or Online Member under or in connection with this Agreement is limited to the total Fees paid by the Advisor during the 12 months immediately preceding the claim.

15.3 Exclusion of Consequential Loss
Neither party is liable to the other (whether in contract, tort, or otherwise) for any consequential, special, incidental, or indirect loss or damage, including loss of profit, revenue, data, or business opportunity. This exclusion applies to Mindshop and to Advisors/Online Members, except in cases of gross negligence, willful misconduct, or IP infringement.

15.4 Statutory Guarantees
Where implied conditions, warranties, or statutory consumer guarantees cannot be excluded by law, Mindshop’s liability for breach is limited (to the extent permitted) to re-supplying the relevant services or paying the cost of re-supply.

15.5 Mutual Indemnity
Each party indemnifies the other against all damages, losses, costs, and expenses arising from that party’s breach of this Agreement, to the extent permitted by law.

16. Termination

16.1 Termination for Cause — by Mindshop
Mindshop may terminate this Agreement immediately if:

  • The Advisor or Online Member commits a material breach that cannot be remedied
  • A remediable breach is not cured within 5 business days of written notice
  • Fees are not paid by the due date and repeated follow-up requests for payment
  • Mindshop reasonably believes continued access poses a significant security, legal, or reputational risk

 

16.2 Termination of Membership or reduction of Advisor licenses

  • Minimum Term. Each Advisor membership is subject to a minimum term of 12 months from the commencement date (“Minimum Term”). Neither Mindshop nor an Advisor may terminate this Agreement during the Minimum Term, and fees remain payable in full for its duration.
  • Termination After Minimum Term. Following completion of the Minimum Term, either Mindshop or an Advisor may terminate this Agreement by giving 2 complete billing cycles’ written notice.
  • Multi-Licence Firms. A firm holding multiple Advisor licences may reduce its number of Advisors by giving 1 complete billing cycle’s written notice, provided each affected Advisor licence has completed its Minimum Term.
  • Fees During Notice. All fees remain payable in full through any applicable notice period.
  • No Suspensions. Mindshop does not permit subscription suspensions or pauses for any reason.

 

16.3 Removing an Online Member
An Advisor may remove an Online Member’s access within one business day via the portal or by written request to Mindshop. Billing adjustments are effective from the date the request is received (AEDT).

16.4 Effect of Termination

  • All access to the Mindshop platform and associated Materials must cease immediately.
  • Advisors must cease using Mindshop branding / accreditation’s, diagnostic tools, workshop material, tools or resources obtained from or provided or made available to them by Mindshop Group and must not hold themselves out as having any connection with Mindshop Group.
  • User Data is deleted as described in Section 8.5.
  • Termination does not entitle the Advisor or Online Member to any refund, damages, or compensation.
  • Clauses 7, 8, 9, 11, 12, 15, and 17 survive termination.
17. General Provisions

17.1 Variation
Mindshop may vary these Terms and Conditions (including Fees) on 14 days’ written notice. Continued use of the platform following a variation constitutes acceptance.

17.2 Assignment
Mindshop may assign this Agreement with written notice. Advisors and Online Members may not assign their rights without Mindshop’s prior written consent. Access credentials may only be transferred to another employee or officer of the Advisor’s organisation with Mindshop’s written consent.

17.3 Severability
If any provision of this Agreement is found void, illegal, or unenforceable, it will be severed. The remaining provisions will continue in full force.

17.4 Waiver
Failure or delay by Mindshop to exercise any right does not constitute a waiver of that right.

17.5 Entire Agreement
This Agreement (including the Privacy Policy and any Data Processing Agreement) constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements and representations.

17.6 Governing Law
This Agreement is governed by the laws of the State of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria for resolution of any disputes.
